2. Eligibility

You must be at least 18 years old to use our Services. By using the Services, you represent and warrant that you have the legal capacity to enter into a binding agreement.

3. Account Registration

To access certain features, you may be required to create an account. You agree to provide accurate and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials.

4. Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. We reserve the right to revoke or restrict your access to the Services at any time, without notice, for any reason, including violation of these Terms.

5. Trading Risks

Risk Disclosure: Trading involves significant risk and may result in the loss of all your invested capital. The Services are provided for informational and software utility purposes only and do not constitute financial advice. You acknowledge that you use the Services at your own risk.

We are not responsible for any trading decisions you make based on the information provided by the Services. Always consult with a qualified financial advisor before making any investment decisions.

6. Trade Sync (also known as Trade Copying)

TraderWaves may provide a feature referred to as "Trade Sync" (also known as account syncing, trade copying, or a trade copier), which can help users mirror user-initiated trade activity between trading accounts connected to the Services.

Important: Trade Sync is intended as a software utility for syncing activity between accounts owned and controlled by the same user. TraderWaves does not operate a marketplace for copying third-party traders, and Trade Sync is not a trading signals service.

6.1 No Financial Advice or Signals

TraderWaves does not provide financial, investment, or trading advice. We do not provide trading signals, recommendations, or strategies. Any configuration of Trade Sync, including risk settings or sizing rules, is determined solely by you and used at your own risk.

6.2 User Control and Responsibility

You acknowledge and agree that you remain solely responsible for all trading decisions, trade activity, and risk management across your connected accounts. TraderWaves does not make discretionary trading decisions on your behalf. You may enable, disable, or modify Trade Sync settings at any time within the platform.

6.3 Account Ownership and Authorization

By connecting a trading account to TraderWaves, you represent and warrant that you are the legal owner of the account or that you have obtained explicit and lawful authorization to connect and manage that account using the Services. You are solely responsible for ensuring compliance with your broker’s terms of service and all applicable laws and regulations.

6.4 No Custody of Funds

TraderWaves does not hold, custody, or handle customer funds. All trading activity occurs directly within your own brokerage accounts, and any deposits, withdrawals, or account balances remain under your control and your broker’s custody.

6.5 No Guarantee of Results

Trade Sync and all other Services involve significant risk of financial loss. Past performance of any account or strategy does not guarantee future results. You acknowledge and agree that all outcomes resulting from your use of the Services are your sole responsibility.

6.6 As-Is Service and Technical Limitations

Trade Sync is provided on an “AS IS” and “AS AVAILABLE” basis. We do not warrant that the service will operate without interruption, error, delay, or defect. Technical issues such as delays, slippage, synchronization errors, mismatched symbols, partial fills, broker limitations, pricing differences, or disconnections may occur, and you accept full responsibility for any resulting losses.

6.7 Third-Party Dependencies

You acknowledge that Trade Sync relies on internet connectivity, third-party broker platforms, and other technical systems outside of our control. Delays, errors, or system failures may result in missed, duplicated, or incorrect activity being synced between accounts. TraderWaves shall not be held liable for any such occurrences.

6.8 Service Availability, Bugs, and Downtime

You acknowledge that the Services (including Trade Sync) are complex software systems and may contain bugs, experience downtime, undergo maintenance, or behave unexpectedly in certain scenarios. The Services may also produce incomplete, delayed, duplicated, or inaccurate data or syncing outcomes. TraderWaves does not guarantee uninterrupted availability, error-free operation, or that Trade Sync will always function as intended.

To the maximum extent permitted by law, TraderWaves shall not be liable for any financial losses, missed trades, incorrect trade activity, loss of profits, or other damages arising from bugs, outages, maintenance, performance issues, or other technical faults, whether within or outside of our control.

6.9 Limitation of Liability

To the maximum extent permitted by law, TraderWaves and its affiliates disclaim all liability for any direct, indirect, incidental, consequential, or punitive damages, including but not limited to financial losses, loss of profits, or loss of data arising from or related to the use of Trade Sync or the Services.

6.10 User Responsibilities

You remain solely responsible for:

• Monitoring your trading accounts and open positions.
• Managing your own trading risk, including setting appropriate limits.
• Ensuring you understand how Trade Sync settings operate before enabling them.
• Ensuring compliance with applicable laws, regulations, and broker terms.

6.11 Fair Use and Termination

Trade Sync is subject to fair use. Excessive, abusive, or unreasonable usage that impacts the performance or stability of the platform may result in suspension or termination of your account at our discretion.

7. Intellectual Property

All content, features, and functionality on the Site—including text, graphics, logos, and software—are the exclusive property of TraderWaves and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8. User Content

You may submit or upload content such as trade history and personal data ("User Content"). You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your User Content in connection with the Services.

You represent that you have all necessary rights to submit the User Content and that it does not violate any laws or third-party rights.

9. Prohibited Activities

You agree not to:

• Use the Services for any unlawful purpose.
• Impersonate any person or entity or misrepresent your affiliation.
• Interfere with or disrupt the integrity or performance of the Services.
• Attempt to gain unauthorized access to any portion of the Services.
• Engage in any activity that could harm or potentially harm the Services or other users.

10. Termination and Suspension

We reserve the right to terminate or suspend your access to the Services, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

11. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

12. Limitation of Liability

In no event shall TraderWaves, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind arising out of or in connection with your use of the Services, including any direct, indirect, incidental, special, consequential, or punitive damages.

13. Indemnification

You agree to defend, indemnify, and hold harmless TraderWaves and its affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses arising out of your violation of these Terms or your use of the Services.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.

15. Changes to Terms

We may revise these Terms at any time. We will notify you of any changes by updating the "Last Updated" date at the top of these Terms. Your continued use of the Services after changes are posted constitutes your acceptance of the new Terms.
